Contract red flags to watch for

Vague scope of work

If the scope is unclear, performance becomes a debate. Strong contracts define deliverables, timelines, acceptance standards, and what counts as “complete.”

One-sided remedies

Watch for clauses that allow only one party to terminate, with penalties that don’t match actual harm. Balanced remedies reduce conflict and improve enforceability.

Auto-renewals and notice requirements

Renewal clauses and strict notice windows can lock you in unexpectedly. Confirm how to cancel and how notice must be delivered.

Venue and governing law

Dispute location matters. A contract that forces litigation far away increases cost and leverage.

Integration and modification

Make sure the contract states how changes are made. If “email changes don’t count,” that can create real problems later.
